Terms of Service

1. Scope of Application
These Terms of Service ("Terms") govern the use of the COSMYQ platform ("Platform", "Service") operated by Inan Lima Music and Entertainment, Carrer Bernat de Santa Eugènia 3, Piso 6, Puerta 4, 07015 Palma de Mallorca, Spain ("Provider", "we"). By creating an account or otherwise using the Service, you ("Customer", "you") agree to be bound by these Terms.
2. Services
The Provider offers a software-as-a-service platform for booking management, event coordination, contact relationship management, contract handling, invoicing and related workflows for artists, agencies and brands in the music and entertainment industry. The scope of features available depends on the subscription plan and may evolve over time. The Provider may add, modify or discontinue individual features without prior notice provided this does not materially reduce the value of the Service.
3. Account & Registration
Use of the Service requires registration with accurate, current and complete information. You are responsible for safeguarding your access credentials and for all activity occurring under your account. You must notify us promptly of any unauthorized use. Accounts are non-transferable. We may suspend or terminate accounts that violate these Terms or that have been dormant for an extended period.
4. User Obligations & Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not: (a) upload, store or transmit content that is illegal, infringing, defamatory or harmful; (b) attempt to gain unauthorized access to the Service, other accounts or related systems; (c) interfere with the operation of the Service through automated requests, denial-of-service activity or reverse engineering; (d) use the Service to send unsolicited bulk communications; (e) misuse the Service in a manner that imposes a disproportionate load on infrastructure. You are responsible for the content you store and for ensuring you hold the necessary rights and consents.
5. Service Availability
The Provider strives to keep the Service available 24/7 but does not warrant uninterrupted, error-free or secure operation. Scheduled maintenance, third-party outages (in particular hosting, payment and email providers) and force majeure events may cause temporary unavailability. No service-level commitment is made unless expressly agreed in writing in a separate enterprise agreement.
6. Fees & Payment
Subscription fees and payment terms are set out in the applicable order form or pricing page at the time of subscription. Fees are charged in advance per billing cycle through our payment processor Stripe. Late payment may result in suspension of access after prior notice. Statutory consumer rights, in particular the right of withdrawal where applicable, remain unaffected.
7. Term & Termination
Subscriptions run for the term selected at sign-up and renew automatically for the same period unless cancelled before renewal. Either party may terminate for good cause at any time, including for material breach of these Terms. Upon termination, your access ends and we may delete your data after a reasonable grace period in accordance with the retention obligations described in the Privacy Policy.
8. Data Protection
The processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms. Where you process personal data of third parties (e.g. contacts, artists, customers) through the Service, you act as the data controller and we act as data processor under Art. 28 GDPR. A data processing agreement (DPA) is available on request.
9. Warranty & Liability
The Service is provided on an "as-is" and "as available" basis. To the maximum extent permitted by applicable law, the Provider disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement. Liability for damages caused by simple negligence is limited to the foreseeable damage typical for this type of contract and capped at the fees paid by you in the twelve months preceding the event giving rise to the claim. Liability for intent, gross negligence, injury to life, body or health and under mandatory statutory law (in particular product liability) remains unaffected.
10. Intellectual Property
All rights in the Service, including software, design, trademarks and documentation, remain with the Provider or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Service for the duration of your subscription. Content you upload remains yours; by uploading you grant us the rights necessary to operate, secure and improve the Service.
11. Miscellaneous
These Terms are governed by Spanish law, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for merchants is Palma de Mallorca, Spain. Mandatory consumer-protection rules of your country of residence remain unaffected. Should any provision be or become invalid, the remaining provisions shall remain in force. Amendments to these Terms will be communicated at least 30 days in advance and are deemed accepted unless objected to before they take effect.
